Required regulatory and product disclosures for Waive Administrators, LLC and for the plans we administer.

This document is a baseline placeholder intended to capture our standard disclosures. Counsel review is in progress; the final disclosures supersede this version.

1. About Waive Administrators

Waive Administrators, LLC is a third-party administrator (TPA) of self-funded and level-funded employer health plans. Waive does not underwrite insurance. Insurance and stop-loss coverage are provided by independent licensed carriers (see "Carrier partners" below). Waive provides plan administration, claims adjudication, eligibility, member services, compliance support, and broker tooling.

2. State licensing

Waive is licensed as a third-party administrator in the states in which it operates. The current state-by-state licensing status is published on our Trust & Compliance page. Where Waive is not yet licensed, plans cannot be administered for groups domiciled in that state.

3. Carrier partners and stop-loss

Level-funded plans administered by Waive use specific and aggregate stop-loss insurance issued by independent carriers, including Berkley Accident & Health, Tokio Marine HCC, and HM Insurance Group, subject to availability and underwriting. Carrier selection depends on group size, state, and risk profile. Stop-loss policies are issued and underwritten by the named carrier, not by Waive.

4. Plan documents control

Plan summaries, Summary Plan Descriptions (SPDs), summaries of benefits and coverage (SBCs), and stop-loss carrier policies control over any marketing or summary content on this Site. In the event of a conflict between this Site and the official plan documents, the official documents govern.

5. Savings claims

The "30% average savings" and similar comparative claims published on this Site are based on Waive's internal analysis of employer renewals comparing the prior fully-insured year's premium to the subsequent Trident level-funded year's expected cost. Individual results vary materially based on group size, state, demographics, claims experience, plan design, and stop-loss attachment points. Detailed methodology is published on the Trust & Compliance page.

6. Quote validity

Indicative pricing and savings estimates shown on the Site are not bindable. Firm, bindable quotes are issued in writing by Waive's underwriting team after review of a complete RFQ and supporting documents (member-level census, prior claims experience where required, and effective date). Quote terms are valid for the period stated in the quote letter.

7. Compliance support, not legal advice

Waive's compliance services — including ACA reporting (Forms 1094-C/1095-C), COBRA administration support, ERISA filings (Form 5500), and required participant notices — are administrative services provided to plan sponsors. Waive does not provide legal, tax, or actuarial advice. Plan sponsors remain the legal fiduciaries of their plans and should consult their own counsel and advisors.

8. Member rights

Plan members have rights under ERISA, the Affordable Care Act, the No Surprises Act, and the Mental Health Parity and Addiction Equity Act, among others. These rights are described in detail in the SPD and in member communications. Members with questions about benefits, claims, appeals, or external review should contact member services through the number on their member ID card.

9. Broker compensation

Where a broker of record is identified for a plan, Waive may pay the broker a commission or service fee in connection with placing or servicing the plan. Compensation arrangements are disclosed to the plan sponsor in the broker of record letter and, where required, on the annual ERISA Form 5500.
